IMPORTANT: Please read these Terms and Conditions ("Terms", "Agreement") carefully before accessing or using the website operated by Autocortx AI Technologies Pvt. Ltd. ("Autocortx", "we", "our", "us") located at www.autocortx.ai (the "Website") or any services provided by Autocortx. These Terms constitute a legally binding agreement between you ("User", "you", "your") and Autocortx. By accessing, browsing, or using the Website or our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations, including but not limited to Indian data protection laws, financial services regulations, and AI governance frameworks. If you do not agree to these Terms, you must immediately discontinue use of the Website and our services.

1. Definitions

  • "AI Services" means any artificial intelligence, machine learning, or automated decision-making services provided by Autocortx.
  • "BFSI" means Banking, Financial Services, and Insurance sector.
  • "Confidential Information" means all non-public, proprietary, or confidential information disclosed by either party to the other.
  • "Data" means any information, including personal data, processed through our services.
  • "DPDP Act" means the Digital Personal Data Protection Act, 2023 of India.
  • "Services" means all products, services, software, platforms, and solutions provided by Autocortx.
  • "User Data" means any data, information, or content submitted, uploaded, or transmitted by you through the Website or Services.

2. Acceptance of Terms and Eligibility

By accessing or using the Website or Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding agreements.
  • You are authorized to act on behalf of any organization you represent.
  • You will comply with all applicable laws, regulations, and industry standards, including but not limited to RBI guidelines, SEBI regulations, IRDAI requirements, and data protection laws.
  • You will not use the Website or Services for any unlawful, fraudulent, or unauthorized purpose.
  • All information you provide is accurate, current, and complete.

3. Use License and Restrictions

Subject to your compliance with these Terms, Autocortx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful business purposes. This license does not include the right to:

  • Reproduce, distribute, modify, create derivative works, publicly display, or publicly perform any content without prior written consent.
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of any software.
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices.
  • Use automated systems (bots, scrapers, crawlers) to access the Website without authorization.
  • Interfere with or disrupt the integrity or performance of the Website or Services.
  • Access or use the Website or Services to build competitive products or services.
  • Transmit any viruses, malware, or malicious code.
  • Violate any applicable laws, regulations, or third-party rights.

This license terminates automatically upon violation of these Terms or at Autocortx's discretion. Upon termination, you must immediately cease all use and destroy any downloaded materials.

4. Intellectual Property Rights

The Website and Services, including all content, features, functionality, software, algorithms, AI models, trademarks, logos, and proprietary technology, are owned by Autocortx or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws. You acknowledge that Autocortx retains all rights, title, and interest in and to the Website and Services, including all improvements, modifications, and derivative works.

You may not use Autocortx's name, trademarks, logos, or other proprietary identifiers without prior written consent. Any unauthorized use may result in legal action.

5. User Data and Content

5.1 User Submissions

You retain ownership of User Data you submit. By submitting User Data, you grant Autocortx a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, and display such User Data solely for the purpose of providing, improving, and maintaining the Services, subject to our Privacy Policy and applicable data protection laws.

5.2 Data Processing and AI Services

When using AI Services, you acknowledge that:

  • User Data may be processed by automated systems, including machine learning models and algorithms.
  • AI-generated outputs are provided for informational purposes and should not be the sole basis for critical business or regulatory decisions without human review.
  • Autocortx does not guarantee the accuracy, completeness, or reliability of AI-generated content.
  • You are responsible for validating and verifying all AI outputs before use in regulated environments.
  • You will not use AI Services to process sensitive personal data or financial information without appropriate safeguards and consent.

5.3 Prohibited Content

You agree not to submit, upload, or transmit any User Data that:

  • Violates any law, regulation, or third-party right.
  • Contains confidential information of third parties without authorization.
  • Is defamatory, obscene, harassing, or discriminatory.
  • Contains malware, viruses, or harmful code.
  • Infringes intellectual property rights.
  • Contains sensitive financial data, customer PII, or regulated information without proper authorization and safeguards.

6. Data Protection and Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Autocortx is committed to protecting your privacy and personal data in accordance with:

  • The Digital Personal Data Protection Act, 2023 (DPDP Act) of India
  • Relevant RBI, SEBI, and IRDAI data protection guidelines
  • Industry best practices for BFSI data security
  • International standards where applicable

By using the Website or Services, you consent to the collection, processing, and storage of your data as described in our Privacy Policy. You have the right to access, correct, delete, or restrict processing of your personal data, subject to applicable law.

7. AI and Machine Learning Services

7.1 AI Model Performance

Autocortx's AI Services utilize machine learning models that may evolve over time. While we strive for accuracy and reliability, you acknowledge that:

  • AI models may produce errors, inaccuracies, or unexpected outputs.
  • Model performance may vary based on input data quality and characteristics.
  • AI outputs should be reviewed and validated by qualified professionals before use in critical or regulated contexts.
  • Autocortx does not guarantee specific accuracy rates or performance metrics.

7.2 Algorithmic Transparency and Explainability

Autocortx is committed to responsible AI practices. However, certain AI models may have inherent limitations in explainability. You acknowledge that:

  • Some AI decision-making processes may not be fully explainable.
  • You are responsible for ensuring AI outputs comply with regulatory requirements for explainability in your jurisdiction.
  • Autocortx may provide documentation and support to assist with regulatory compliance, but ultimate responsibility lies with you.

7.3 Bias and Fairness

Autocortx strives to develop fair and unbiased AI systems. However, AI models may reflect biases present in training data or exhibit unintended discriminatory effects. You agree to:

  • Monitor AI outputs for potential bias or discrimination.
  • Implement appropriate safeguards and human oversight.
  • Comply with applicable anti-discrimination laws and regulations.

8. Regulatory Compliance

As a BFSI-focused AI company, Autocortx is committed to regulatory compliance. However, you acknowledge that:

  • You are solely responsible for ensuring your use of the Services complies with all applicable laws, regulations, and industry standards, including but not limited to RBI guidelines, SEBI regulations, IRDAI requirements, and data protection laws.
  • Autocortx does not provide legal, regulatory, or compliance advice.
  • You should consult with qualified legal and compliance professionals before deploying Services in regulated environments.
  • Regulatory requirements may vary by jurisdiction and change over time.
  • You are responsible for obtaining all necessary licenses, approvals, and authorizations for your use of the Services.

9. Service Availability and Modifications

Autocortx strives to maintain high availability of the Website and Services but does not guarantee uninterrupted, error-free, or secure operation. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Website or Services at any time with or without notice.
  • Perform scheduled or emergency maintenance.
  • Update, upgrade, or change features, functionality, or interfaces.
  • Impose usage limits or restrictions.

Autocortx is not liable for any losses or damages resulting from service interruptions, modifications, or discontinuations.

10. Disclaimers and Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR AI OUTPUTS.
  • WARRANTIES THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
  • WARRANTIES REGARDING REGULATORY COMPLIANCE OR SUITABILITY FOR SPECIFIC USE CASES.

Autocortx does not warrant that the Website or Services will meet your specific requirements or that any errors will be corrected. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOCORTX, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR REPUTATION.
  • DAMAGES ARISING FROM USE OR INABILITY TO USE THE WEBSITE OR SERVICES.
  • DAMAGES RESULTING FROM AI OUTPUTS, ERRORS, INACCURACIES, OR UNEXPECTED BEHAVIOR.
  • DAMAGES RESULTING FROM REGULATORY NON-COMPLIANCE OR LEGAL CONSEQUENCES OF USING AI SERVICES.
  • DAMAGES RESULTING FROM DATA BREACHES, SECURITY INCIDENTS, OR UNAUTHORIZED ACCESS (EXCEPT AS REQUIRED BY LAW).

Autocortx's total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to Autocortx in the twelve (12) months preceding the claim, or INR 10,000 (whichever is greater), except where prohibited by law.

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Autocortx has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Autocortx, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Website or Services.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party right, including intellectual property or privacy rights.
  • User Data you submit, upload, or transmit.
  • Your use of AI outputs in violation of applicable laws or regulations.
  • Any regulatory action, investigation, or penalty resulting from your use of the Services.

Autocortx reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

13. Data Breach and Security Incidents

In the event of a data breach or security incident affecting your data, Autocortx will:

  • Investigate and remediate the incident in accordance with industry best practices.
  • Notify affected users and relevant authorities as required by applicable law, including the DPDP Act.
  • Provide reasonable cooperation and information to assist with your compliance obligations.

However, Autocortx's liability for data breaches is limited as set forth in Section 11 (Limitation of Liability), except where prohibited by law.

14. Audit Rights and Compliance Monitoring

For enterprise customers, Autocortx may provide audit rights and compliance documentation as specified in separate service agreements. For general Website use, you acknowledge that:

  • Autocortx may monitor usage to ensure compliance with these Terms and applicable laws.
  • Autocortx may suspend or terminate access for violations of these Terms.
  • You are responsible for maintaining records and documentation necessary for regulatory compliance.

15. Third-Party Services and Integrations

The Website or Services may integrate with or link to third-party services, websites, or APIs. Autocortx is not responsible for:

  • The availability, accuracy, or content of third-party services.
  • The privacy practices or data handling of third parties.
  • Any damages or losses resulting from your use of third-party services.

Your use of third-party services is subject to their respective terms and conditions. Autocortx does not endorse or assume responsibility for any third-party services.

16. Termination

Autocortx may terminate or suspend your access to the Website or Services immediately, without prior notice, for:

  • Violation of these Terms or any applicable law or regulation.
  • Fraudulent, illegal, or harmful activity.
  • Non-payment of fees (for paid services).
  • At Autocortx's discretion for any reason or no reason.

Upon termination, your right to use the Website and Services ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 4, 5, 10, 11, 12, and 20) will survive.

17. Modifications to Terms

Autocortx reserves the right to modify these Terms at any time. Material changes will be notified through the Website or by email. Your continued use of the Website or Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use immediately.

It is your responsibility to review these Terms periodically for changes. The "Last Updated" date at the top indicates when these Terms were last revised.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any disputes arising from or related to these Terms.

18.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes shall be resolved through:

  • Arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India.
  • Arbitration proceedings shall be conducted in Mumbai, Maharashtra, India.
  • The arbitration shall be conducted by a single arbitrator appointed by mutual agreement or by a recognized arbitration institution.
  • The language of arbitration shall be English.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any separate service agreements, constitute the entire agreement between you and Autocortx regarding the Website and Services and supersede all prior or contemporaneous communications, proposals, agreements, or understandings, whether electronic, oral, or written.

21. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Autocortx's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Autocortx's prior written consent. Autocortx may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

23. Force Majeure

Autocortx shall not be liable for any failure or delay in performance under these Terms resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, internet failures, or third-party service disruptions.
